Reporting to the Managing Director, the Company Secretary ensures strong corporate governance and full compliance with all
legal and regulatory requirements across Kumul Petroleum Holdings Limited (KPHL) and its subsidiaries. The role serves as the
key liaison between the Board, management, and stakeholders, and is central to KPHL’s governance framework. The Company
Secretary is responsible for statutory and regulatory compliance, including obligations under the Kumul Petroleum Holdings Limited
Authorisation Act 2015, the Companies Act, and relevant industry standards.

Key Responsibilities:

  • Lead statutory reporting to ensure full compliance for KPHL and its subsidiaries, and brief the Board and Executive on regulatory
    changes;
  • Provide governance and administrative support to the Chairman and Board.;
  • Prepare Board agendas, coordinate briefings, and issue Board papers on time;
  • Manage the annual schedule of the Board, Committee, and AGM meetings;
  • Monitor and drive completion of Board resolutions.;
  • Advise the Board on governance best practice, directors’ duties, and compliance;
  • Coordinate mandatory professional development for Directors and Executives, including industry and governance updates;
  • Facilitate annual performance reviews for the Board, Committees, and Directors
  • Maintain custody of the company seal and all key corporate records

Qualifications/Experiences:

  • Minimum of Bachelor’s Degree in Law, Commerce, Business Administration or related field is essential, with recognised governance body membership (essential);
  • Minimum 10 years’ experience in a similar role within the resource industry and multinational work space;
  • Exceptional written and verbal communication skills, with the ability to present complex information to senior executives;
  • Strong organisational and project management skills, with proven team leadership ability;
  • Demonstrates the highest standards of ethics, professionalism, and discretion in handling confidential matters;
  • Strong strategic, analytical, and problem solving capability;
  • High cultural awareness and ability to operate effectively within Papua New Guinea’s business and regulatory environment.
