Reporting to the Company Secretary, the Assistant Company Secretary supports the development of KPHL governance policies, including the Governance Framework, Board Charter, Know your Customer (KYC) and Due Diligence Standards. The role also monitors governance compliance across KPHL, manages regulatory submissions, and maintains corporate records in line with approved procedures.

Key Responsibilities:

  • Support updates and development of Board policies, including the Board Social Fund (BSF) Policy;
  • Monitor corporate governance compliance and report non compliance through approved procedures;
  • Assist the Company Secretary with shareholder communications and meetings;
  • Maintain direct communication with regulators including Investment Promotion Authority, Internal Revenue Commission, National Petroleum Authority, and the Prime Minister & National Executive Council;
  • Support timely statutory filings for KPHL Group, coordinating with external consultants as required.
  • Assist Audit and Treasury in gathering and processing KYC information;
  • Attend Board Sub Committee meetings as directed by the Company Secretary;
  • Prepare transcripts, draft minutes, and finalise minutes for Board and Sub Committee meetings.

Qualifications/Experiences:

  • Bachelor’s Degree in Business Administration, Law, or a related field is essential;
  • Minimum 5 years’ experience in a similar role is essential;
  • Experience in the oil & gas or multinational sector;
  • Strong understanding of corporate governance and compliance;
  • Able to manage statutory records and prepare Board agendas;
  • Effective communicator with Board and stakeholders;
  • Demonstrated ability to maintain accurate, timely documentation
