Job Description:

ROLE SUMMARY:

The Graduate Lawyer reports to the Chief Legal Officer within the Legal Services Division. The incumbent will provide assistance to the Legal Services team in a range of functions including drafting and reviewing of various contracts, legal documents, agreements and/or similar documents relating to the oil and gas sector projects driven by Kumul Petroleum.

KEY RESPONSIBILITIES:

• Monitor, review and report commercial activities to ensure they are legally compliant with the oil and gas industry regulations relating exploration,development, production and negotiations by Kumul Petroleum and its joint ventures and stakeholders;
• Prepare and review a range of commercial contracts including but not limited to exploration agreements, surface use and right of way contracts, joint venture agreements, shipping and finance agreements, construction and operating contracts, marketing and sales agreements and other agreements as required;
• Where required, undertaking legal due diligence with respect to transactions which Kumul Petroleum plans to undertake;
• Be a part of the Legal Services team in representing Kumul Petroleum at company negotiation with joint venture partners,stakeholders, and respective legal departments including government entities;
• Analyse the legal and commercial implications ofall business transactions, ensuring they meet legal protocols for all related operations;
• Assist in preparing Board papers on the above responsibilities when required by Management;

QUALIFICATIONS/EXPERIENCES/SKILLS:

• Bachelor of Law Degree with a record of good academic performance and must have successfully completed legal training at the PNG Legal Training Institute;
• Prior work experience is not essential
• Some understanding of commercial law practice in the oil and gas sector would be an advantage but not essential;
• Ability to work effectively in a team;
• Be self organised and passionate to learn;
